Incorporation

The AGM this year is an important one. Last year the AGM voted overwhelmingly to continue making progress towards incorporation. This year the meeting will vote on the proposal to incorporate.

Item 4 on the Draft Agenda is:

  • Resolution relating to the incorporation of BMAF and winding up of the Federation.

It is proposed that:
i) The Federation establish the new company BMAF Holdings Ltd
ii) The AGM approve the final set of Articles for BMAF Holdings Ltd
iii) The AGM agree that BMAF Holdings Ltd together with BMAF Services Ltd shall take over all aspects of the services provided by BMAF and become the sole British masters’ organisation that is affiliated to World Master Athletics (WMA), European Masters Athletics (EMA), and UK Athletics (UKA “British Athletics”).
And subject to the above three proposals being approved, it is proposed that:
iv) Alistair Kendrick AK (Honorary Treasurer) and Ian Richards IR (Vice Chairman) be authorized to submit an application to Companies House for BMAF (Holdings) Limited to be formed with AK and IR as the initial Directors and Company Members.
5. Financial Report.
Accounts for year ended 31 May 2024.
6. Affiliation Fees for coming year.
The BMAF Executive committee propose that affiliation fees
remain at £4.00?? for year 2025/26
7. Questions on Officers report.

Financial Report

It should be noted that whilst the financial statements do show BMAF to be in a fairly strong position it should be remembered that it only receives income from 3 sources. These being the:
- affiliation fees paid via area clubs which in the year totalled £18,519,
- interest on funds deposited with the bank of £1,244 and
- donations which totalled £1,000 in the year.
Of these amounts I am committed going forward to pass over the affiliation fees to BMAF Services Limited to use on the running of events and I have historically passed over the interest to the area clubs by way of support.
It is well published that BMAF Services Limited are finding that their cost base is significantly different post COVID -19 and in view of this they are having to work hard to control their costs to leave the company financially stable. At BMAF there are only limited funds which can be provided to keep BMAF Services Limited stable. It was agreed that BMAF should hold funds to meet 2 years of likely costs of BMAF Services Limited and that would amount to a figure of around £80,000. There is therefore only limited additional funds presently available to deal with any emergencies (bank balances at 31/5/24 of £91,421)
It is my main priority apart from the incorporation of BMAF to work with the directors of BMAF Services Limited to ensure that costs are properly controlled, and events are carefully managed. I am working closely with BMAF Services Limited to set up controls and to manage costs.
I am sure that this will be a theme which will keep appearing, but it is important for the future of the BMAF that we manage this matter carefully
